Terms of Service

1. Acceptance

By accessing OPSYNC you agree to these Terms. If you are accepting on behalf of an organization, you confirm you have authority to bind it.

2. Access & accounts

OPSYNC is invite-only. We provision accounts after reviewing your request. You are responsible for keeping credentials secure and for activity under your account.

3. Acceptable use

You will not use OPSYNC to: violate law (TCPA, GDPR, FDCPA, CAN-SPAM, etc.), send unsolicited communications outside compliance frameworks, infringe IP, transmit malware, or attempt to disrupt the service.

4. Customer data

You retain ownership of all data you upload. You grant OPSYNC a license to host, process, and display it solely to deliver the service. We are a data processor; you are the controller.

5. Fees & billing

Subscription fees are billed monthly or annually in advance via Stripe. Per-agent seats and usage-based add-ons are billed in arrears. Fees are non-refundable except where required by law.

6. Service level

We target 99.9% monthly uptime for the production API and web app. Scheduled maintenance is announced in-app at least 24 hours in advance. Service credits, where applicable, are described in your order form.

7. Suspension & termination

We may suspend or terminate access for breach, non-payment, or activity that endangers the platform. You may cancel any time from your billing settings; access continues through the paid period.

8. Disclaimers

The service is provided "as is". To the maximum extent permitted by law, OPSYNC disclaims all warranties, express or implied.

9. Limitation of liability

OPSYNC's aggregate liability under these Terms shall not exceed the fees paid by you in the twelve months preceding the claim.

10. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Disputes are resolved exclusively in the state and federal courts located in Delaware.

11. Changes

We may update these Terms with at least 30 days' notice for material changes. Continued use after the effective date constitutes acceptance.
